MERGER: AMO SR approved merger of companies E.ON Slovakia and the Ministry of Economy of the Slovak Republic over the part of the undertaking E.ON Business Services Slovakia

On November 12, the Antimonopoly Office of Slovak Republic, Division of Concentration („Office“) approved merger through which the undertakings E.ON Slovakia a.s., Bratislava and the Ministry of Economy of the Slovak Republic, Bratislava acquired the indirect joint control, through company Západoslovenská energetika, a.s., which is the exclusive shareholder of the company Západoslovenská distribučná, a.s. and ZSE Energia, a.s. over the undertaking E.ON Business Services Slovakia („EBSSK“).

E.ON Slovakia is the joint stock company established and existing under the Sovak laws, which is controlled by the company E.ON Beteiligungen GmbH. It is the part of the economic group E.ON.

E.ON Slovakia is the executor of the stockholder´s rights of the group E.ON in the ZSE.

Ministry of Economy of the Slovak Republic is the executor of the stockholder´s rights of the Slovak Republic in the ZSE company, which it jointly controls with the group E.ON. The undertaking ZSE is the exclusive stockholder of the companies ZSD a ZSE-E, which in the area of the Slovak Republic operate in energy sector - in the energy distribution or in electricity and gas supplies.

Company EBSSK is the Limited Liability Company established and existing under the Slovak laws. Undertaking EBSSK manages supplies of all IT services for the company ZSE and its subsidiaries and for the group E.ON in the area of the Slovak Republic. Before the merger concerned the company EBSSK was exclusively controlled by the group E.ON.

After evaluation of all acquired materials and information the Office concluded that the assessed merger does not infringe effective competition in the relevant market, mainly as result of creation or strengthening of dominant position and it approved the merger.

The decision came into force on November 26, 2015.
