The Antimonopoly Office of the Slovak Republic approved the merger of Abris and AAA Auto

On 20 October 2014 the Antimonopoly Office of the Slovak Republic, Division of Concentrations approved the merger grounded in acquisition of indirect exclusive control of the undertaking Abris Capital Partners Limited, Jersey („Abris“) over the undertaking AAA Auto Group N.V., Amsterdam, the Netherlands („AAA Auto Group“).
 
Company Abris is an administrator acting in the name and to the accounts of funds Abris CEE Mid-Market Fund II L.P. and Abris CEE Mid-Market Fund II-A L.P., adopts all managing and investment decisions with respect to these funds.
 
Companies belonging to Abris Group acts in different segments and in different countries and none of the companiesare engaged in business in the same segment or in the vertically connected market as the companies of the acquired subjects. Companies belonging to Abris Group currently do not act in the territory of the Slovak Republic.
 
AAA Auto Group acts in the territory of the Slovak Republic through:
  • the company AUTOCENTRUM AAA AUTO, a.s. in the area of purchase and sale of used vehicles, brokering of financial and insurance services relating to sale of used cars, repair of vehicles and car bodyworks,
  • the company Auto Diskont, s.r.o., in the area of purchase and sale of used vehicles, brokering of financial and insurance services relating to sale of used cars and
  • the company Mototechna Group, k.s. – Slovak branch in the area of purchase and sale of used vehicles, brokering of financial and insurance services relating to sale of used cars and service.
Activities of undertakings concerned in the Slovak Republic overlap neither horizontally nor vertically. The Office concluded that the assessed merger does not infringe effective competition in the relevant market, mainly as result of creation or strengthening of dominant position and it approved the merger.

Decision came into force on 3 November 2014.
