MERGERS: AMO SR approved concentration of Bidvest over Tekoo ČR and Tekoo SR

The Antimonopoly Office of the Slovak Republic approved the concentration grounded in acquisition of the direct exclusive control by the Bidvest Czech Republic s.r.o., Czech Republic („Bidvest Czech Republic„) over the undertakings TEKOO spol. s r.o., Czech Republic („TEKOO ČR“) and Tekoo Slovakia, s.r.o., Slovak Republic („TEKOO SR“).

Company Bidvest Czech Republic as a control acquirer belongs to the supranational group Bidvest. Companies in Bidvest group operates in production, trade and services in sectors of food, paper production, car industry, transport services, security services, financials, banks and household services. They act mainly in the markets of Australia and Asia. Bidvest Czech Republic acts in the Slovak market through the undertaking Bidvest Slovakia s.r.o., Nové Mesto nad Váhom („Bidvest Slovakia“). Bidvest Czech Republic and its subsidiaries are the producers and distributors of chilled, frozen and dry food (main groups of products are ice-cream, frozen vegetable, frozen potato products, meat, fish, milk products, frozen bakery products, frozen ready-made meals).

Acquired companies TEKOO ČR and TEKOO SK have a single partner, Ing. Miroslav Borák and who is also a statutory body. Companies are distributors of fresh fruit and vegetable and act both in the Slovak and Czech markets.

Since the activities of the companies subject to concentration overlap neither on horizontal, nor in the vertical markets the Office concluded that the concentration in question would not distort competition and approved the concentration.

The decision came into force on 19 June 2014.
