MERGERS: AMO SR approved merger EWE and VNG - Verbundnetz Gas Aktiengesellschaft

On 28 July 2014 the Antimonopoly Office of the Slovak Republic, Division of Concentrations approved the concentration grounded in acquisition of direct exclusive control of the undertaking EWE Aktiengesellschaft, Germany („EWE“) over the undertaking VNG - Verbundnetz Gas Aktiengesellschaft, Germany („VNG“).

EWE is a regional energy company acting mainly in the market of electric power, natural gas market and in the area of water supplies in northwest Germany, Brandenburg, Poland and Turkey. Besides, EWE runs other activities in the power and ecology techniques, telecommunications and information technologies. In the gas sector it deals with the natural gas import, trading and storage. Company EWE and related undertakings do not act in the relevant market including the territory of the Slovak Republic.

Main activities of company VNG together with related undertakings include natural gas import, trading, transport and storage and connected services. Furthermore, the company acts in the area of natural gas production in Norway and Denmark and in lesser extent also in the area of electric power supplies. In the territory of the Slovak Republic undertaking VNG owns 100% ownership interest in company VNG Slovakia, s.r.o. („VNG Slovakia“), which acts in the area of natural gas sale and it is focused on wholesale for gas distributors, energy producers and bigger enterprises. On the date of Notification of Concentration VNG Slovakia had been acting also in the area of heating through its 49% share in Nitrianska teplárenská spoločnosť, a. s.. Since 1 January 2014 VNG does not realise activities in the area of natural gas transport within Slovakia. 

Evaluating all acquired documents and materials the Office did not identify the competition concerns resulting from the concentration and approved it.

Decision came into force on 13 August 2014.
