MERGERS: AMO SR approved the merger of Zhongwang International Group Limited and Aleris Corporation

On 19 October 2016 the Antimonopoly Office of the Slovak Republic, the Division of Concentrations (hereafter “the Office”), approved the merger grounded in the acquisition of indirect exclusive control of the undertaking Zhongwang International Group Limited, seated at P. O. Box 957, Offshore Incorporations Centre, Road Town, Tortola, the British Virgin Islands (hereafter “ZIGL”) over the undertaking Aleris Corporation, seated at 1209 Orange Street, Wilmington, New Castle County, Delaware 19801, the USA (hereafter “Aleris”).
 
The undertaking ZIGL belongs to an economic group which acts in the area of development and manufacturing of aluminium products and presently deals mainly with industrial aluminium extrusion, but the undertaking is not active in the territory of the Slovak Republic.
 
The acquired undertaking Aleris is at the forefront of the economic group of companies which act in the area of production and sale of flat rolled aluminum products. The undertaking in the territory of the Slovak Republic acts as a foreign supplier of flat rolled aluminum products to industrial processors.       
 
After the evaluation of submitted materials and information, the Office concluded that the assessed merger does not significantly infringe effective competition in the relevant market significantly, mainly as a result of creation or strengthening of a dominant position.
 
Decision came into force on 21 October 2016.
