MERGERS: AMO SR approved the merger of a joint venture CENTRAL RAILWAYS, a.s., of the undertakings BUDAMAR LOGISTIC, a.s., Railtrans International, a.s., Radu Gabriel Gheorghiu and UNICOM TRANZIT S.A.

On 8 March 2017 the Antimonopoly Office of the Slovak Republic, the Division of Concentrations, (hereafter “the Office”) approved the merger grounded in the establishment of a full-function joint venture CENTRAL RAILWAYS, a.s., seated at Krivá 21, 040 01 Košice, the Slovak Republic (hereafter “CRW”) jointly controlled by the undertakings BUDAMAR LOGISTIC, a.s., Bratislava, the Slovak Republic, Railtrans International, a.s., Leopoldov, the Slovak Republic, Radu Gabriel Gheorghiu, Romania and UNICOM TRANZIT S.A., Romania.
Company CRW is licensed to provide transport services on railway tracks and it is the owner of a safety certificate in Hungary and also in the Slovak Republic. After the merger it will provide primarily transport services on railway tracks in Hungary. As an additional service it performs and also after the merger it will perform forwarding.
Based on the areas of the action of the parties to the merger, the Office assessed whether implementation of the assessed merger will in the territory of the Slovak Republic in the area of rail freight transport and in the area of provision of forwarding services lead to such changes which would lead to significant infringement of effective competition on relevant market, particularly as a result of creating or strengthening of a dominant position, and the Office also assessed whether establishment of a joint venture CRW would have the object or effect of the coordination of competitive behaviour, which according to the Act on Protection of Competition is forbidden.  
After evaluating all the acquired documentation and information the Office came to a conclusion that the assessed merger is in accordance with the Article 12 Paragraphs 1 and 2 of the Act on Protection of Competition.
The decision came into force on 23 March 2017.
