MERGERS: AMO SR initiated the administrative proceedings in the matter of the merger of the companies of the undertaking Emil Frey Holding AG and the undertakings Opel Slovakia Automotive, s. r. o., and Opel Czech (Automotive), s.r.o.

On 21 May 2019 the Antimonopoly Office of the Slovak Republic, the Division of Concentrations, (hereafter “the Office”) initiated the administrative proceedings in the matter of merger, which, according to the merger notification, is grounded in two mutually contingent transactions consisting of the acquisition of direct exclusive control of two companies belonging to the economic group of the undertaking Emil Frey Holding AG, Switzerland over the undertaking Opel Slovakia Automotive, s. r. o., Bratislava and over the undertaking Opel Czech (Automotive), s.r.o., the Czech Republic, into which the activities of the undertaking Opel Southeast Europe LLC, Hungary will be embedded, in the area of import and wholesale distribution of passenger cars and light commercial vehicles, original spare parts and in the area of after sales services, equipment and accessories in the territory of the Slovak Republic, respectively in the territory of the Czech Republic.

Third parties, namely natural and legal persons may submit their comments, objections and information on notified mergers to the Office. We request the third parties to submit their comments to the Office as soon as possible following the publishing of notification what may allow the Office to deal with these comments in the first phase of assessment of notified merger with respecting the legal periods.
