MERGERS: AMO SR approved the merger of undertakings TCL China Star Optoelectronics Technology Co., Ltd., Samsung Suzhou Module Co., Ltd., and Samsung Suzhou LCD Co., Ltd.

On 30 October 2020 the Antimonopoly Office of the Slovak Republic, the Division of Concentrations, (hereafter "the Office") approved a merger grounded in the acquisition of exclusive control of the undertaking TCL China Star Optoelectronics Technology Co., Ltd., China (hereafter “CSOT”) over the undertakings Samsung Suzhou Module Co., Ltd., China and Samsung Suzhou LCD Co., Ltd., China (hereafter "acquired companies").
 
The company CSOT operates mainly in the semiconductor display sector, within which it mainly manufactures and sells liquid crystal LCD panels.
 
The acquired companies are the manufacturers of LCD panels. None of them has any production facilities in the Slovak Republic. They operate mainly on the Chinese market, but they sell their products also in the Slovak Republic through their parent company SDC.

There are no vertical interconnections between the acquired companies and CSOT. In the framework of horizontal interconnection, the combined market share of the merging parties after the merger will not reach the level of the affected market, thus the created horizontal overlap does not raise competition concerns.
 
After evaluating obtained documentation and information, the Office came to the conclusion that the assessed merger is in accordance with the Article 12 Paragraph 1 of the Act on Protection of Competition, as it will not significantly impede effective competition on the relevant market, particularly as the result of creation or strengthening of a dominant position.
 
The decision came into force on 3 November 2020.
