MERGERS: AMO confirms the unannounced inspections in book sector for suspicion of a non-notified merger

The Antimonopoly Office of the Slovak Republic, Division of Concentrations confirms that on April 9 and 10, 2015 it conducted an unannounced inspection relating to book sector, namely in the business premises of two undertakings.

Inspection was conducted on the basis of reasonable suspicion that the obligation to notify merger being subject to control by the Office was infringed. Merger should have been notified pursuant to the Act on Protection of Competition and also the prohibition to perform rights and obligations resulting from such merger was violated.

For failure to notify the merger being subject to control by the Office prior to performing rights and obligations resulting from this merger the undertakings may be imposed a fine of up to 10 % of their turnover for the preceding closed accounting period. For infringement of the prohibition to perform rights and obligation resulting from such merger the undertakings may be imposed a fine of up to 10 % of their turnover for the preceding closed accounting period.

The fact that the Office conducted an inspection does not imply that the entities concerned have infringed the competition rules, nor does it prejudge the conclusions of the investigation. The Antimonopoly Office of the Slovak Republic does not provide further information at this stage of investigation.
