MERGERS: AMO SR approved the merger of undertakings AZC, a.s., BSP SOFTWAREDISTRIBUTION, a.s., and ColosseoEAS, a.s.

On 18 February 2022 the Antimonopoly Office of the Slovak Republic, the Division of Concentrations, (hereafter „the Office“) approved a merger grounded in the creation of a fully functional joint venture by changing the exclusive control of undertaking BSP SOFTWAREDISTRIBUTION, a.s., Bratislava to the joint control of this undertaking and undertaking AZC, a.s., Bratislava over undertaking ColosseoEAS, a.s., Bratislava.

Given that this was a problem-free merger, where no horizontal overlaps nor relevant non-horizontal relationships occurred and the Act No. 187/2021 Coll. on Protection of Competition in effect since 1 June 2021 enshrined the possibility of issuing a decision in simple cases without justification, the Office used this institute in the case.

 

By approving a merger without justification, the Office expresses its efforts to assess non-problematic transactions more efficiently and more quickly and to save resources and capacities on the part of the Office as well as undertakings concerned.

 

The decision came into force on 21 February 2022.
