MERGERS: AMO SR approved the merger of undertakings grounded in the change of control over the company SWAN, a.s.

On 20 July 2021 the Antimonopoly Office of the Slovak Republic, the Division of Concentrations, (hereafter “the Office“) approved a merger grounded in the acquisition of indirect joint control of the undertakings Ing. Juraj Ondriš and Ing Pavol Ondriš (hereafter “Notifiers“) over the undertaking SWAN, a.s., Bratislava (hereafter “SWAN“).

Already prior to the merger, the undertaking SWAN was jointly controlled by the Notifiers on one hand and by Sandberg Capital, správ. spol., a.s., on the other hand.

In the view of above stated, this was a prima facie non-problematic transaction. Since the Act No. 187/2021 Coll. on the protection of competition that has been in force since 1 June 2021 explicitly enshrined the possibility of issuing a decision in simple cases without justification, the Office used this institute for the first time in this case. By issuing an approving decision on the merger without justification, the Office expresses its efforts to more efficiently and faster assess transactions that are non-problematic from the competition point of view and to save resources and capacities on the side of the Office as well as undertakings concerned.

The decision came into force on 6 August 2021.
